Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and scotchtoken.com ("Scotch Token," "we," "us," or "our") governing your access to and use of the Scotch Token platform, website, APIs, and related services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

Scotch Token provides a secure intermediary platform that allows customers to:

• Access third-party AI model APIs through a centralized, managed interface.
• Define and configure which AI models they wish to consume.
• Receive consolidated billing at group or enterprise rates negotiated by Scotch Token.
• Manage API key issuance, rotation, and access controls through the Scotch Token dashboard.

The Service acts as a token broker and API gateway. Scotch Token does not own or operate the underlying AI models and is not responsible for the outputs generated by those models.

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and commercial use. By using the Service, you represent that all registration information you provide is accurate, current, and complete.

4.1 Account Creation

You must register for an account to access the Service. You agree to provide accurate, current, and complete information and to keep that information updated.

4.2 Credentials

You are responsible for maintaining the confidentiality of your account credentials, API keys, and tokens issued through the platform. You agree to notify Scotch Token immediately at security@scotchtoken.com of any unauthorized access to your account or any security breach.

4.3 Responsibility

You are responsible for all activity that occurs under your account, including usage and charges incurred by any of your authorized users or sub-accounts.

5.1 Secure Access

Scotch Token provides secure, encrypted access to API keys for the AI models you have configured. API keys are stored encrypted at rest and transmitted only over TLS. You agree not to attempt to extract, cache, or otherwise circumvent Scotch Token's key management system.

5.2 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to generate content that is illegal, harmful, defamatory, or infringes third-party rights.
• Resell, sublicense, or provide the Service to third parties without express written permission from Scotch Token.
• Attempt to reverse-engineer, bypass, or exploit the Service or its security mechanisms.
• Use the Service in any manner that could damage, disable, or impair Scotch Token's infrastructure.
• Exceed usage limits or rate limits established for your account tier.

5.3 Model Configuration

You are responsible for the model configurations you define within the platform, including model selection, parameter settings, and any system prompts. Scotch Token does not review or endorse any specific model configuration.

6.1 Pricing

Access to the Service is billed based on usage of the underlying AI models as proxied through Scotch Token, at the group rate applicable to your account tier. Current pricing and rate schedules are available at scotchtoken.com/pricing. Scotch Token reserves the right to modify pricing with 30 days' written notice.

6.2 Billing Cycle

Usage is metered and billed monthly or as otherwise agreed in your Order Form. Invoices are issued at the start of each billing cycle for the previous period's usage. Payment is due within 15 days of invoice date.

6.3 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes associated with your use of the Service.

6.4 Late Payments

Overdue balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Scotch Token reserves the right to suspend or terminate access for non-payment after 10 days' notice.

6.5 Disputes

You must notify Scotch Token of any billing dispute within 30 days of the invoice date. Undisputed amounts remain due during any dispute investigation.

7.1 Scotch Token Property

Scotch Token retains all right, title, and interest in and to the Service, including all software, trademarks, and documentation. Nothing in these Terms transfers any ownership interest to you.

7.2 Customer Data

You retain full ownership of all prompts, inputs, and outputs exchanged with AI model providers through the Service. Scotch Token does not store, read, or share your prompt data. Prompts are transmitted directly to the model provider via the API key you have configured, and Scotch Token has no access to prompt content or model responses.

The only data Scotch Token retains is what is strictly necessary for billing and consumption calculations: token counts, model identifiers, request timestamps, and account identifiers. This data is referred to as "Usage Data" throughout these Terms.

7.3 Feedback

If you provide feedback or suggestions about the Service, Scotch Token may use such feedback without restriction or obligation to you.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is marked confidential or that should reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Your use of the Service is subject to Scotch Token's Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

The Service integrates with third-party AI model providers (e.g., OpenAI, Anthropic, Google, etc.). Your use of those models is subject to their respective terms of service and usage policies. Scotch Token is not responsible for the availability, accuracy, or outputs of third-party models. Scotch Token makes no warranty regarding the continued availability of any specific third-party model through the Service.

The Service is provided "as is" and "as available." Scotch Token expressly disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Scotch Token does not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by applicable law, Scotch Token and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, or goodwill. In no event shall Scotch Token's total liability to you for all claims exceed the total fees paid by you to Scotch Token in the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Scotch Token and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any third-party rights.

14.1 Term

These Terms begin on the date you first access the Service and continue until terminated.

14.2 Termination by You

You may terminate your account at any time by contacting support@scotchtoken.com. Termination does not entitle you to a refund of any prepaid fees.

14.3 Termination by Scotch Token

Scotch Token may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if Scotch Token ceases to offer the Service.

14.4 Effect of Termination

Upon termination, your right to access the Service immediately ceases. Provisions that by their nature should survive termination shall survive, including Sections 7, 8, 11, 12, 13, and 16.

Scotch Token may modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality violations.

• Entire Agreement: These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between you and Scotch Token regarding the Service.
• Waiver: Failure to enforce any right or provision of these Terms shall not be deemed a waiver.
• Severability: If any provision is held invalid, the remaining provisions continue in full force.
• Assignment: You may not assign these Terms without Scotch Token's prior written consent.
• Force Majeure: Scotch Token is not liable for delays or failures caused by events beyond its reasonable control.
• Notices: Legal notices must be sent to legal@scotchtoken.com.
